Terms & Conditions
Our Commitment
At Valor Nash, LLC, we are committed to delivering premium electric vehicles and a seamless ownership experience. The following Terms & Conditions outline the relationship between Valor Nash, LLC and you, our customer. Valor Nash, LLC is an authorized dealer/reseller for Valor Carts, LLC and is not the manufacturer of the vehicle unless expressly stated in a signed written agreement. By placing an order, making a payment, accepting delivery, or completing your purchase, you agree to these Terms in full. This agreement represents the complete understanding between you and Valor Nash, LLC unless otherwise defined in a signed written contract. Each vehicle is assigned a unique Vehicle Identification Number (VIN), serving as its official identity throughout ownership.
Orders, Payment & Taxes
All purchases are subject to applicable taxes, title, registration, delivery, documentation, financing, and other governmental or third-party fees. Unless expressly stated otherwise in writing, all payment obligations are due in cleared funds and may not be withheld, delayed, reduced, or offset by the purchaser without prior written approval from Valor Nash, LLC.
1. Orders & Payment Terms
A reserve deposit of $1,000 is required to secure your order, begin the order process, and reserve a build slot. The reserve deposit will be credited toward the total purchase price. For custom orders, Valor Nash, LLC will review the requested configuration, options, color, accessories, pricing, and estimated timing with the purchaser before the order is submitted to Valor Carts, LLC for production or procurement.
Custom-order payments shall be made as follows, unless a signed purchase agreement or invoice provides different written terms:
-
$1,000 reserve deposit due at the time the order is requested, or the build slot is reserved
-
A custom-order payment equal to fifty percent (50%) of the total purchase price due when the purchaser approves the final order and before Valor Nash, LLC places, submits, commits, or funds the order with Valor Carts, LLC
-
The remaining fifty percent (50%) of the total purchase price, plus all taxes, title, registration, delivery, documentation, accessories, change-order charges, and other applicable fees, due at delivery, pickup, or release of the vehicle, and before the purchaser takes possession, title work is completed, registration processing is completed, or the vehicle is released
The custom-order payment becomes non-refundable once Valor Nash, LLC places, submits, commits, or funds the order with Valor Carts, LLC or any related supplier. This is because Valor Nash, LLC must commit funds for the purchaser’s specific vehicle and configuration, including required supplier payments tied to manufacturing, overseas production, shipping, and release of the vehicle. If the purchaser cancels, refuses delivery, fails to complete the purchase, or otherwise backs out after the order has been placed or committed, the purchaser agrees that the fifty percent (50%) custom-order payment is non-refundable.
Valor Nash, LLC may, in its discretion, advance or float amounts owed to Valor Carts, LLC or related suppliers before delivery, including supplier progress payments, shipping-related payments, or release-related payments. Any decision by Valor Nash, LLC to advance or float those amounts does not modify the purchaser’s payment obligations, does not create any financing arrangement, and does not waive Valor Nash, LLC’s right to collect the final balance at delivery, pickup, or release of the vehicle.
The $1,000 reserve deposit is refundable only if Valor Nash, LLC has not yet placed, submitted, committed, or funded the order and no custom work, sourcing, administrative processing, merchant fees, title work, or other third-party costs have been incurred. Once the order has been placed or committed, the reserve deposit is included in and treated as part of the non-refundable amounts described above.
Changes requested after order approval are not guaranteed and may be refused if production, procurement, or shipping has already begun. Approved changes may require additional payment in advance and may affect delivery timing. Special-order parts, accessories, upgrades, color selections, upholstery, wheels, lighting, lithium batteries, audio equipment, and other custom selections may not be cancelable once ordered.
For in-stock inventory vehicles, full payment is required before delivery, pickup, title work, registration processing, or release of the vehicle. Delivery timelines for inventory carts are typically 7 to 9 business days, depending on scheduling and logistics, but are estimates only. Our team will keep you updated throughout the process and is available to assist with any questions before your LSV enters production or is released for delivery.
Valor Nash, LLC reserves the right to delay delivery, pickup, title processing, registration processing, or release of the vehicle until all required payments have been received in cleared funds. If any required payment is not made when due, Valor Nash, LLC may suspend the order, delay delivery, assess reasonable storage or administrative charges, cancel the order, retain non-refundable amounts, and pursue any additional amounts owed or damages permitted by law.
2. Delivery & Risk of Loss (FOB Terms)
All vehicles are sold FOB (Free On Board) Valor Nash, LLC facility, unless otherwise agreed in writing. Customer-Arranged Shipping: Ownership and risk of loss transfer to the purchaser at the time the vehicle is picked up by the purchaser or their designated carrier. The purchaser is responsible for all shipping arrangements, costs, insurance, and any claims related to loss or damage during transit.
Valor-Arranged Delivery (Customer-Paid): If Valor Nash, LLC arranges delivery on behalf of the purchaser, such delivery is coordinated as a convenience and billed to the purchaser. Delivery is performed by a third-party, insured carrier unless otherwise stated in writing. Valor Nash, LLC is not the carrier and is not responsible for carrier delays, transit damage, road conditions, scheduling changes, or other delivery issues outside of its direct control.
Ownership and risk of loss transfer to the purchaser upon delivery of the vehicle at the specified destination, unless otherwise required by applicable law or agreed in writing. While Valor Nash, LLC is not the carrier, we will assist in coordinating delivery and supporting the purchaser in the event of any loss or damage claims with the carrier. Any visible damage must be noted at the time of delivery and reported promptly. Please inspect the cart at delivery and note any damage before signing. Acceptance of delivery confirms that the vehicle has been received in satisfactory condition unless otherwise documented at the time of delivery. Estimated delivery timelines are provided as a courtesy and are not guaranteed. Delivery charges are non-refundable once the vehicle has been released to the carrier.
3. Production & Delivery Timing
All custom vehicles are built to order by or through Valor Carts, LLC or related manufacturers, suppliers, or production partners. Production timelines, shipping timelines, port timelines, customs clearance timelines, inspection timelines, and delivery timelines are estimates and may be affected by supply chain constraints, component availability, manufacturing schedules, overseas shipping, port congestion, customs delays, weather, carrier availability, regulatory requirements, or other factors outside of Valor Nash, LLC’s control. Valor Nash, LLC will make reasonable efforts to communicate material delays but shall not be liable for delays in production, shipping, customs clearance, final assembly, inspection, titling, registration, or delivery.
Because custom vehicles may involve production commitments, supplier payments, and shipping progress payments before the vehicle is delivered to the purchaser, payment timing is tied to order placement, supplier commitments, and delivery/release of the vehicle. Failure by the purchaser to make required payments may delay or prevent completion, release, delivery, title processing, or registration of the vehicle.
4. Manufacturer Warranty, Dealer Assistance & Proper Use
Warranty coverage for the vehicle, components, parts, systems, batteries, accessories, and related items is provided by Valor Carts, LLC, the applicable manufacturer, or the applicable supplier under the written warranty materials provided with the vehicle or made available by Valor Carts, LLC. Valor Nash, LLC is a dealer/reseller and does not separately manufacture the vehicle, components, parts, or accessories.
Valor Nash, LLC will make reasonable efforts to facilitate warranty communication, assist with documentation, coordinate claim submission, and help the purchaser communicate with Valor Carts, LLC or the applicable manufacturer or supplier. This assistance is provided as a customer service convenience only. Valor Nash, LLC is not the warrantor, does not assume Valor Carts, LLC’s warranty obligations, and is not responsible for warranty approvals, denials, parts availability, repair timing, replacement decisions, labor coverage, shipping costs, recalls, technical determinations, or remedies controlled by Valor Carts, LLC, a manufacturer, or a supplier.
No verbal statement, website description, estimate, marketing material, sales discussion, text message, email, or informal communication modifies or expands any written warranty unless signed in writing by the party providing that warranty. Any warranty claim must be handled in accordance with the applicable written warranty terms and procedures.
All vehicles must be used in accordance with intended use, owner instructions, safety requirements, and applicable laws. Any unauthorized modifications, misuse, abuse, overloading, improper charging, improper storage, improper maintenance, accident damage, water intrusion, racing, off-road use beyond intended specifications, commercial misuse, or alteration outside of Valor Carts, LLC or Valor Nash, LLC specifications may void warranty coverage and may affect safety, performance, and compliance.
To preserve the ownership experience:
-
Vehicles should be operated responsibly and as intended
-
Compliance with all local, state, and federal regulations is the responsibility of the owner
-
The purchaser is responsible for confirming where and how the vehicle may legally be operated, registered, titled, insured, parked, charged, and stored
-
Modifications outside of applicable manufacturer, supplier, Valor Carts, LLC, or Valor Nash, LLC specifications may impact performance, safety, warranty coverage, and legal compliance
5. Limitation of Liability
To the maximum extent permitted by law, Valor Nash, LLC shall not be liable for any indirect, incidental, special, punitive, or consequential damages, including but not limited to loss of use, loss of revenue, lost profits, business interruption, substitute transportation, storage, towing, inconvenience, travel expenses, or delay-related damages. Responsibility for safe operation remains with the owner and operator. Valor Nash, LLC is not liable for damages resulting from misuse, improper operation, improper charging, improper storage, improper maintenance, accidents, unauthorized modifications, third-party carrier acts or omissions, or failure to comply with applicable laws.
Valor Nash, LLC is not liable for the acts, omissions, delays, product decisions, warranty decisions, manufacturing decisions, design decisions, parts decisions, recall decisions, or technical determinations of Valor Carts, LLC, any manufacturer, supplier, carrier, financing company, governmental authority, title agency, registration agency, or other third party. To the extent a claim relates to a manufacturer warranty, product defect, component failure, supplier part, recall, factory repair, replacement part, or written warranty remedy, the purchaser agrees that such claim must be directed to Valor Carts, LLC or the applicable manufacturer or supplier under the applicable written warranty or legal process.
Valor Nash, LLC’s total liability, if any, shall not exceed the amount actually paid to Valor Nash, LLC for the vehicle at issue, excluding taxes, title, registration, delivery, documentation, financing, governmental fees, and third-party charges. Nothing in these Terms is intended to limit any rights that cannot be limited under applicable law.
6. Acceptance
By placing an order, approving a configuration, making a payment, accepting delivery, or taking possession of a vehicle, the purchaser acknowledges and agrees to these Terms & Conditions. The purchaser further acknowledges that custom-order payment obligations and non-refundable amounts are material terms of the purchase because Valor Nash, LLC must commit funds to Valor Carts, LLC and related suppliers before the vehicle is delivered to the purchaser.
